Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AssuranceLoop platform, websites and related services (collectively, the "Service") operated by InnovPath Professional Services ("AssuranceLoop", "we", "us"). By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
1. Definitions
- "Customer" means the legal entity that subscribes to the Service.
- "Authorised User" means an individual permitted by the Customer to access the Service under the Customer's workspace.
- "Customer Data" means any data, content, files, documents or information uploaded to or generated within the Service by the Customer or its Authorised Users.
- "Documentation" means the published user documentation made available with the Service.
2. The Service
AssuranceLoop provides a software-as-a-service platform for the governance, conformity assessment, evidence management and reporting of artificial intelligence systems. The Service is delivered over the public internet and is accessed through a web browser.
We may update, improve, add to or remove features of the Service from time to time. Where a change materially reduces functionality, we will provide reasonable notice to the Customer.
3. Accounts & access
The Customer is responsible for: (a) the accuracy of account information; (b) maintaining the confidentiality of credentials; (c) all activity that occurs under its account; and (d) ensuring Authorised Users comply with these Terms and the Acceptable Use Policy. The Customer must notify us promptly of any suspected unauthorised access.
4. Customer responsibilities
- Use the Service only in accordance with these Terms, the Documentation and applicable law.
- Ensure the Customer has all rights, consents and legal bases necessary to upload Customer Data and process it through the Service.
- Not use the Service to develop a competing product, to reverse engineer the Service, or in violation of the Acceptable Use Policy.
- Promptly notify us of any actual or suspected security incident affecting the Customer's use of the Service.
5. Fees & subscriptions
Fees, billing period and payment terms applicable to a paid plan are set out in the relevant order form or pricing page. All fees are exclusive of taxes, which are payable by the Customer. Unless stated otherwise, subscriptions renew automatically for successive periods equal to the initial term until cancelled in accordance with these Terms.
6. Customer Data
As between the parties, the Customer retains all right, title and interest in and to Customer Data. The Customer grants AssuranceLoop a limited, non-exclusive licence to process Customer Data solely to provide, secure and improve the Service in accordance with these Terms and the Data Processing Agreement.
On termination, the Customer may export its Customer Data using the in-product CSV exports for a period of thirty (30) days. Thereafter, Customer Data will be deleted in accordance with the Data Processing Agreement and our retention schedule.
7. Confidentiality
Each party will protect the other's confidential information using the same degree of care it uses to protect its own confidential information of like kind, but no less than a reasonable degree of care, and will only use confidential information to perform under these Terms.
8. Security
AssuranceLoop implements administrative, technical and physical safeguards designed to protect the Service and Customer Data, including: encryption in transit and at rest, role-based access controls, isolation of customer workspaces using row-level security, and logging of administrative actions. Detailed security commitments are described in the Data Processing Agreement.
9. Third-party services
The Service may interoperate with third-party services. Use of those services is governed by the terms of the relevant third party. AssuranceLoop is not responsible for the availability, security or content of third-party services.
10. Intellectual property
AssuranceLoop and its licensors retain all right, title and interest in the Service, the Documentation and all related intellectual property. Subject to these Terms, AssuranceLoop grants the Customer a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term.
11. Warranties & disclaimers
AssuranceLoop warrants that the Service will perform materially in accordance with the Documentation. Except as expressly set out in these Terms, the Service is provided "as is" and AssuranceLoop disclaims all other warranties to the maximum extent permitted by law. The Service supports — but does not by itself constitute — legal, regulatory or compliance advice.
12. Limitation of liability
To the maximum extent permitted by law, in no event will either party be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenues, data or goodwill, even if advised of the possibility of such damages. Each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by the Customer to AssuranceLoop in the twelve (12) months preceding the event giving rise to liability.
13. Indemnity
AssuranceLoop will defend the Customer against third-party claims alleging that the Service, as provided by AssuranceLoop and used in accordance with these Terms, infringes that third party's intellectual property rights, and will pay damages finally awarded against the Customer or agreed in settlement.
14. Term & termination
These Terms remain in effect for as long as the Customer has an account. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. We may suspend the Service immediately for serious or repeated breaches of the Acceptable Use Policy or where required by law.
15. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms, without prejudice to mandatory consumer protection laws in your country of residence.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or in-product notice at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
